Agreeing to the terms and conditions of the go2pcr.com is automatically entailing you to abide by this Membership Agreement (the Agreement) effective from the same day by and between the GO2PCR.COM, hereinafter referred to as Community portal (Community), accessed via www.go2pcr.com with a business address of West Frisco, Stone Brook Parkway, Frisco, Texas 75034, and all current and future members of GO2PCR.COM hereinafter referred to as “Member”.

By accessing, browsing or using the www.go2pcr.com portal or by selecting I Accept during the membership registration, you represent that you have read, understand and agree to be bound by the terms and conditions of this Membership Agreement hereinafter referred to as Agreement.

1. Nature of the Service

The Community portal (go2pcr.com) is a one stop platform for residents of Phillips Creek Ranch (PCR) community and the business owners of the community and other business people targeting community residents, facilitating the promotion of business information with residents of Phillips Creek Ranch (PCR) community. This promotion shall include the business page creation with information about the company and its products/ services, hours of operations, social media links etc., Updating of the text and images, updating logos, reading the profile pages of other members and possibly even contacting them. The Community provides to its members, benefits such as but not exclusive to: Greater Visibility and Branding Interaction with Prospective customers, customized Offers, B2B Benefits through Networking, Easy Targeting, Inbound Marketing with less Investment

a. Access: Sponsors of PCR receive access to members to make meaningful connections. These connections allow sponsors to educate, inspire and support our members. Opportunities include (but are not limited to) exposure in e-newsletters, on all printed documents, at events, on our portal and in our future membership benefit program.

b. Connection: PCR understands that connections are imperative in business, which is why we are dedicated to help build connections. Sponsorship is about much more than advertising. We assist sponsors to get involved in the PCR community and create long lasting connections with our encouragement and support.

c. Research: Sponsors can have a provision to collect data through surveys and feedback questionnaires. This provides up-to-date statistics and data about target audiences.

d. Influence: PCR is proud of our sponsors and we have chosen them because they are of value to the Go2PCR portal. This relationship between PCR and its sponsors develops a positive association for members, as they understand our sponsors are industry leaders. Sponsors meet with PCR on regular occasions throughout the year to give their input on important business decisions and events.

e. Credibility: Go2PCR.com is a platform of one of its kind and its sponsors are credentialed by PCR with a strict criterion. This criterion includes: the company must be a demonstrated leader in the industry for at least five years, it must operate in multiple states, be a PCR member for at least two years and be recommended by a Board member. This criterion helps demonstrate that PCR Sponsors are true leaders in their respective fields and shows the endorsement and trust that comes from partnering with PCR. The Community works like an online community of internet users.

2. User Registration and Information

A Member shall fill in the correct information requested in the User Registration form on the site. A Member shall be required to promptly update the User Information on the site. A Member shall select a username and password during the User Registration process. A Member shall be responsible for:
a) use of the Site made by the Members username and password, and
b) maintaining the confidentiality of the Members username and password.

3. Availability, Errors and Inaccuracies

The products or services available on our sponsor’s company pages may be mispriced, described inaccurately, or unavailable, and we may experience delays in updating information on the service and in our advertising on other web sites. You expressly agree that any such offer of a product or service does not constitute a legal offer capable of attracting legal consequences.

We cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability, and services. We reserve the right to change or update information and to correct errors, inaccuracies, or omissions at any time without prior notice. Section “Availability, Errors and Inaccuracies” is without prejudice to existing statutory rights.
4. Contests, Sweepstakes and Promotions

Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through the Service may be governed by rules that are separate from these Terms. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms and Conditions, the Promotion rules will apply. The terms and conditions of any other “Promotions” are independent of this agreement.
5. Content

The Content includes Company Profile, Business Information like hours of operation, how to contact, about services / products, jobs, Deals & Offers, Classifieds, Advertisements, Banner Ads, etc., messages and other materials posted to forums, groups, or other locations on the Site by the members of the Community. Member of the Community is deemed to grant the Community the nonexclusive right to post, display, copy, and modify the Content about the operation of the Site and the Community’s business. Further, the Member is deemed to grant the Community the nonexclusive right to post, display, copy, and sell the Content within the limitations set by the Member during the online publishing process. Member is also deemed to authorize the Community to disclose his/her personal data when the Member includes such personal data in the content.

Our Service allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for the Content that you post through your account login on our portal to the Service, including its legality, reliability, and appropriateness.

By posting Content on the portal to the Service, you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain all of your rights to any Content you submit, post or display on or through the Service and you are responsible for protecting those rights. You agree that this service includes the right for us to make your Content available to other users of the portal / service, who may also use your content subject to these Terms.
You represent and warrant that: (i) the content is yours (you own it) or you have the right to use it and grant us the rights and access as provided in these terms, and (ii) the posting of your content on or through the service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.
6. Accounts

When you create an account with us, you must provide us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our portal / service.
You are responsible for safeguarding the password that you use to access your account and the service and for any activities or actions under your password, whether your password is with our service or a third-party service.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
7. Intellectual Property

The portal / service and its original content (excluding content provided by users), features and functionality are and will remain the exclusive property of Cignitech LLC and its licensors. The service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Cignitech LLC.

When you upload content, you give authorization to Cignitech LLC a worldwide, non-exclusive, royalty-free, transferable license (with right to sub-license) to use, reproduce, distribute, prepare derivative works of, display, and perform that Content in connection with the provision of the service and otherwise in connection with the provision of the service and Cignitech LLC business.

9. Release
If the Member has a dispute with one or more other Members, the Member shall release the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.

10. Privacy

Community shall not sell or rent Members personal information to third parties without Members explicit consent. Community shall store and process Members information on computers located in the United States that are protected by physical as well as technological security devices. However, the Community shall be permitted to access and modify Members information.
11. Indemnity

Member shall indemnify and hold the Community (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Members breach of this Agreement, or Members violation of any law or the rights of a third party.

You agree to defend, indemnify and hold harmless Cignitech LLC and its licensee and licensors, and their clients, employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the portal/service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the portal/service.
12. No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

13. Terminating Membership

Member shall choose to retire or delete the published content from the Community’s site and it shall be no longer available or visible to other visitors. Terms regarding the status of the uploaded content shall remain applicable when the Member chooses to terminate the membership. Contents posted to the site, other than the published content, shall not be deleted or retired because of the Members termination.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the portal/ service will immediately cease. If you wish to terminate your account, you may simply discontinue using the portal / service.
All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
14. Governing Law

This Agreement shall be construed under and governed in accordance with the laws of the Texas.
These Terms shall be governed and construed in accordance with the laws of United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have between us regarding the Service.
15. Arbitration.

Any dispute arising under this contract shall be resolved under the commercial arbitration rules of the American Arbitration Association.

16. Limitation of Liability

Member shall not hold Community responsible for other user Members content, actions or inactions.
In no event shall Cignitech LLC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the portal/service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
17. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

19. Exclusions

Without limiting the generality of the foregoing and notwithstanding any other provision of these terms, under no circumstances will Cignitech LLC ever be liable to you or any other person for any indirect, incidental, consequential, special, punitive or exemplary loss or damage arising from, connected with, or relating to your use of the Service, these Terms, the subject matter of these Terms, the termination of these Terms or otherwise, including but not limited to personal injury, loss of data, business, markets, savings, income, profits, use, production, reputation or goodwill, anticipated or otherwise, or economic loss, under any theory of liability (whether in contract, tort, strict liability or any other theory or law or equity), regardless of any negligence or other fault or wrongdoing (including without limitation gross negligence and fundamental breach) by Cignitech LLC or any person for whom Cignitech LLC is responsible, and even if Cignitech LLC has been advised of the possibility of such loss or damage being incurred.
